ROCKY MOUNTAIN CHOCOLATE FACTORY COMMENTS ON THE FAILURE OF AB VALUE AND BRADLEY RADOFF GROUP TO DISCLOSE TO STOCKHOLDERS THE CURRENT EMPLOYMENT STATUS OF THEIR REMAINING NOMINEE

 

DURANGO, CO / Newsfile / August 3, 2022 / Rocky Mountain Chocolate Factory, Inc. (NASDAQ:RMCF) (the "Company" or "RMCF"), an international franchiser and manufacturer of gourmet chocolates and other confectionary products, today said that AB Value and Bradley Radoff Group (“AB Value”) has failed to disclose to RMCF stockholders a material change regarding the employment status of its nominee, Mary Bradley. In her interview with the RMCF Board this week, Ms. Bradley disclosed she is no longer employed by Planet Fitness, Inc. (NASDAQ: PLNT). AB Value’s proxy materials describe her as a current Planet Fitness employee.

 

RMCF has taken upon itself this disclosure since AB Value has failed to do so in a timely fashion.

 

In addition, the Company is puzzled by AB Value’s press release issued last evening. The release failed to reference Ms. Bradley at all and, instead of updating stockholders on her status, complains that the Company has not responded to an illusory proposal with a brand-new last-minute candidate (their seventh so far) who was not included in any of AB Value’s prior nomination or proxy materials.
